Grants

NODERUN – VIP LTD may offer grants to projects deems fit (the “Grant” or “Project”). The website shall include the minimum functions and general requirements which the applicant shall possess.

Project and Applicant achievements and compliance with the requirements set hereunder, will be examined and evaluated under NODERUN – VIP LTD sole discretion.

Subject to the applicant successful performance and compliance to all requirements according to above and to other requirements communicated by NODERUN – VIP LTD, at its sole discretion, the applicant shall be entitled to the Grant, which amount and terms shall be specify by NODERUN – VIP LTD at its sole discretion, subject to the terms and conditions stipulated herein and that might be further described in a Grant Agreement delivered to the applicant by NODERUN – VIP LTD.

The Applicant shall be solely responsible for and bear all liability with respect to payment of any and all applicable taxes, levies, insurances, contributions and other liabilities, charges, dues or impositions.

In no event unless required by applicable law will NODERUN – VIP LTD and any one on its behalf and/or their affiliates assume any liability or responsibility of any sort or nature whatsoever in the context of the Grant and the Project.

Disclaimers; Limitation of Liability; Indemnification

You acknowledge and agree that your use of or access to the Website and/or any materials and/or services, if any, offered by NODERUN – VIP LTD shall be at your sole risk. The Website is provided on an “AS IS” and “AS AVAILABLE” basis. You are solely responsible for any and all acts or omissions made by you in reliance on the Website or any part thereof. Any claim or dispute between you and NODERUN – VIP LTD that arises in whole or in part from your use of the Website shall be decided exclusively by a court of competent jurisdiction located in Tel-Aviv, Israel, to the exclusion of any other courts, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non-convenience with respect to venue and jurisdiction in the courts of Tel-Aviv, Israel. NODERUN – VIP LTD reserves the right to amend these Terms at any time and without notice, and it is your responsibility to review these Terms regularly for any changes. Your use of the Website following any amendment of these Terms will signify your assent to and acceptance of its revised terms. YOU AND NODERUN – VIP LTD AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
